    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">为指导房屋建筑和市政基础设施项目工程建设全过程咨询服务合同当事人的签约行为，维护合同当事人的合法权益，根据《中华人民共和国民法典》《中华人民共和国建筑法》《中华人民共和国招标投标法》以及相关法律法规，住房城乡建设部、市场监管总局制定了《房屋建筑和市政基础设施项目工程建设全过程咨询服务合同（示范文本）》（以下简称《示范文本》）。为了便于合同当事人使用《示范文本》，现就有关问题说明如下：</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">一、《示范文本》的组成</span></strong></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">《示范文本》由合同协议书、通用合同条款和专用合同条款三部分组成。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">（一）合同协议书</span></strong></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">合同协议书共计9条，具体条款包括：项目概况、服务内容、委托人代表与咨询项目总负责人、签约合同价、服务期限、合同文件构成、承诺、词语含义、合同订立和生效，明确了合同当事人基本的合同权利义务。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">（二）通用合同条款</span></strong></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">通用合同条款共计13条，具体条款包括：一般约定，委托人，受托人，咨询服务要求及成果，进度计划、延误和暂停，服务费用和支付，变更和服务费用调整，知识产权，保险，不可抗力，违约责任，合同解除，争议解决。合同条款既考虑了现行法律法规对工程建设全过程咨询服务活动的有关要求，也考虑了合同当事人的实际需要，兼顾各项工程咨询服务的通常做法。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">通用合同条款是合同当事人根据《中华人民共和国民法典》《中华人民共和国建筑法》《中华人民共和国招标投标法》及相关法律法规，就工程建设全过程咨询服务的提供及相关事项，对合同当事人的权利义务作出的原则性规定。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">（三）专用合同条款</span></strong></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">专用合同条款共计13条，具体条款包括：一般约定，委托人，受托人，咨询服务要求及成果，进度计划、延误和暂停，服务费用和支付，变更和服务费用调整，知识产权，保险，不可抗力，违约责任，合同解除，争议解决。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">专用合同条款是合同当事人根据建设工程项目特点及具体情况，通过双方谈判、协商，对通用合同条款的原则性约定进行细化、完善、补充、修改或另行约定的合同条款。编写专用合同条款应注意以下事项：</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">1.专用合同条款的编号应与相应通用合同条款的编号一致。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">2.对于专用合同条款中有横线的内容，合同当事人可针对相应通用合同条款进行细化、完善、补充、修改或另行约定；如无，则填写“无”或划“/”。</span></p>
    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">3.对于专用合同条款中未列相应的通用合同条款内容，合同当事人根据建设工程项目的具体情况认为需要进行细化、完善、补充、修改或另行约定的，可增加专用合同条款内容。</span></p>

    <p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">《示范文本》为推荐性使用。合同当事人可结合建设工程项目具体情况，参照《示范文本》订立合同，并按照法律法规和合同约定承担相应的法律责任及合同权利义务。</span></p>
