<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">1、 乙方承担的咨询服务包括与上述服务相关的所有工作；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">2、 乙方负责指导甲方服务过程所需资料收集以及提供适当的培训；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">3、 乙方派出的技术服务人员应严格执行国家有关法律和工作纪律，甲方若在接受服务过程中对 其工作不满意，可向乙方提出投诉或异议，乙方将酌情调整；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">4、 乙方技术服务人员负责拟订咨询工作计划，并须告之甲方，服务工作计划执行过程中的任何 调整应及时以书面形式通知对方。收到通知的一方如在三日内无书面异议，视为认可；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">5、 乙方对甲方工作而涉及的商业秘密承担保密责任；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">6、 甲方提供乙方技术服务人员在服务期间的交通、食宿条件及相关资源；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">7、 甲方应指定专人作为联络员配合乙方技术服务人员的工作。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">五、违约责任</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">1、 甲乙双方任何一方违反本合同或擅自提前终止本合同均应承担违约责任；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">2、 违约方除承担本合同规定的全部咨询服务费外，还应支付给守约方违约（按合同金额的25%） 以弥补给其造成的损失；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">3、 违约方必须明确责任后一个月内结清所有违约费用，否则，每月按总金额的1.5%交付滞纳金。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">六、争议解决法律适用</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">1、 本合同受中华人民共和国法律约束，有关本合同的效力、解释和履行过程中的一切纠纷均由甲 方所在地的中华人民共和国法院管辖处理；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">2、 双方所达成的任何其它一致均构成本合同不可或缺的一部分，与本合同具有同等的法律效力， 其中若有冲突之处，以最后达成的为准。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">七、合同文本、文字及生效</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">1、 本协议自双方代表签字并加盖公章之后生效；</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">2、 本协议一式贰份，双各方执壹份。</p>
