<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（一）委托方应在合同约定的时间内提供编制</span><span style="color: green;">审查报告</span><span style="color: green;">所需要的相关资料，并协助受托方收集其他有关资料。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（二）在合同期内，委托方进行与本项目有关的讨论、询价、对外谈判、调研考察等汇总后的所有信息资料，应及时提供给受托方，必要时可吸收受托方编制人员参加。造成费用增加和提交成果时间延误的，按本条第五款规定执行。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（三）委托方按照约定及时向受托方支付本合同费用。</span></p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（五）因委托方责任造成报告重大修改，或返工重做，应另行增加费用，其数额由双方另行商定，同时，提交成果的时间相应调整，双方另行签订补充协议。在合同期内项目发生变化时应及时通知受托方。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（六）受托方提交的咨询成果，委托方不得擅自修改、转让或转借给第三方使用，否则，由此发生的损失和法律责任由委托方承担。</span></p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">（一）委托方的违约责任</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">1、委托方违反约定，不能按时提供技术资料或工作条件或提供技术资料不准确，导致受托方无法按期完成并提交咨询成果的，受托方有权按延误的时间予以顺延；造成咨询成果返工或修改时，委托方应按实际完成的工作量增付费用。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">2、委托方因故要求中途终止合同时，应及时书面通知受托方。受托方不退还委托方支付的定金。若受托方已开展工作，委托方应按受托方实际完成的工作量支付相应的咨询费。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">3、委托方未在约定时间内支付本合同咨询费用的，从应付咨询费用的次日起计算，每延误一天，向受托方按应付费用的</span><span style="color: green;">1</span><span style="color: green;">%支付违约金。</span></p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">亲自送达或挂号邮寄、特快专递的通知送达时生效，传真发送后在收到对方确认函时生效。任何一方变更本合同所示的项目联系人及联系方式，应提前5日书面通知对方。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">第十条 不可抗力</span></strong></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">发生不可抗力事件，一方在本合同项下受不可抗力影响的义务在不可抗力造成的延误期间自动中止，其履行期限应自动延长，延长期间为中止的期间，该方无须为此承担违约责任。如果发生不可抗力事件，致使不能实现合同目的的，双方均可以解除合同，自解除合同的书面通知到达对方时合同解除，双方均不需向对方承担违约责任。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">提出受不可抗力影响的一方应及时书面通知对方，并且在随后的15日内向对方提供不可抗力发生和持续期间的充分证据。提出受不可抗力影响的一方，还应尽一切合理努力排除不可抗力对履行合同造成的影响。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">发生不可抗力的，双方应立即进行磋商，寻求合理的解决方案，并且要尽一切合理努力将不可抗力造成的损失降低到最小程度。</span></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><strong style="color: blue;"><span style="color: green;">第十一条 争议的解决</span></strong></p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;"><span style="color: green;">双方因履行本合同而发生的争议，应协商、调解解决。协商、调解不成的，确定按下列第</span><span style="color: green;"> 二 </span><span style="color: green;">种方式解决：</span></p>
