年报信息披露不准确，这家燃气公司收到警示函

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">除此之外，在今年上半年，凯添燃气还收到北交所两次问询函。对此，凯添燃气表示，不会影响公司正常运行。</p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">本次被警示的对象主要包括凯添燃气及该公司董事长龚晓科、总经理穆云飞、董事会秘书高永进、财务负责人张靖。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">公开资料显示，凯添燃气控股股东、实际控制人龚晓科出生于1970年10月，毕业于重庆大学工商管<a style="color: red;">方钉导航</a>理学院，MBA学历，高级工程师，银川市第十六届人民代表大会代表，银川市燃气协会副会长，宁夏大学机械工程学院校外硕士生指导教师。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">截至2023年末，龚晓科直接持有公司5338万股股份，占公司股份总额的22<a style="color: red;">方钉导航</a>.7633%，其所控制的凯添能源装备有限公司持有公司4501.55万股股份，占公司股份总额19.1964%。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">警示函显示，凯添燃气2023年年报中披露不准确的信息包括：</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">一是独立性相关内容披露不准确。宁夏<a style="color: red;">方钉导航</a>凯添天然气安装有限公司、宁夏凯添能源开发有限公司、宁夏金海凯添能源开发有限公司为凯添燃气控股股东控制的企业，目前业务停滞，凯添燃气部分财务人员在上述企业中兼职。但年报中却称凯添燃气财务人员未在上述公司<a style="color: red;">方钉导航</a>中兼职。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">二是收入确认政策披露不准确。公司在2023年年报中披露天然气销售收入确认具体原则为：“实际操作中，财务人员根据运营部门核实的抄表量和销售单价确认收入”。但经查明，线上销售（虚拟账户充值）模式中<a style="color: red;">方钉导航</a>，公司运营部门未对客户进行抄表，不存在抄表量的相关凭证，年报遗漏披露上述收入确认原则。</p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">从业务来看，凯添燃气的主要收入来源为天然气销售收入和燃气工程费收入。公司2023年年报显示，全年总营收是5.36亿<a style="color: red;">方钉导航</a>元，其中，天然气销售收入为4.37亿元，占总营收的81.5%。2024年上半年，公司总营收是2.65亿元，其中，天然气销售收入为2.4亿元，占总营收的90.6%。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">三是前五大供应商披露不准确。凯添燃气2<a style="color: red;">方钉导航</a>023年年报中披露的第八大供应商和第十大供应商实际控制人为夫妻关系，而凯添燃气未合并披露。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">另外，未及时做好内幕信息知情人登记报送工作也是被宁夏证监局警示的原因之一。凯添燃气年度权益分派方案分别于202<a style="color: red;">方钉导航</a>4年4月21日召开董事会、5月16日召开的股东大会审议通过，但凯添燃气未进行相关内幕信息知情人登记和档案报送。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">最终，宁夏证监局决定对凯添燃气、龚晓科、穆云飞、高永进、张靖采取出具警示函的行政监管措施，<a style="color: red;">方钉导航</a>并记入证券期货市场诚信档案。</p>

<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">公开资料显示，凯添燃气是一家城市燃气输配、光伏储能产品研发销售的上市公司。公司属于燃气生产和供应业、仪器装备制造业，是专业的城镇燃气运营商和服务提供商，从事<a style="color: red;">方钉导航</a>城市管道天然气与压缩天然气销售及燃气设施、设备安装服务。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">截至2023年年末，凯添燃气拥有配气站2座、园区气化站1座、CNG自有加气站1座，服务CNG、LNG加注站15座，运营输气管网840余公里，服务<a style="color: red;">方钉导航</a>15余万燃气用户。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">除了上述被证监局发警示函，凯添燃气今年上半年还被北交所两次问询。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">3月20日，凯添燃气对外公告，计划在宁夏银川市贺兰县投资建设“凯添智算（宁夏）中心”，该项目由全资子公司凯添智算负责组<a style="color: red;">方钉导航</a>织实施，建设内容为人工智能算力机房及相应配套设施。项目整体占地20000平方米，项目计划2024年3月开工，2024年底一期完成智算机房、动力机房、冷却系统及相应配套设施的建设，并完成部分机架的布置，<a style="color: red;">方钉导航</a>2024年预计完成投资2.5亿元。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">但事实上，项目并没有按计划开工。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">3月20日和4月12日，凯添燃气收到北交所两次下发问询函，追问凯添燃气开展该项目投资的筹措安排和资金来源，评估新业务的可行性以及预计对<a style="color: red;">方钉导航</a>公司财务和经营的影响等。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">对于该项目的进展，凯添燃气在2024年半年报中称，今年5月7日，该项目施工许可手续已通过宁夏贺兰工业园区审批服务管理局的审批，项目已进入施工阶段。截至报告期末，项目完成基础浇筑<a style="color: red;">方钉导航</a>及回填，一层地面垫层的浇筑和立柱的钢筋的绑扎，搭设完成一层满堂红脚手架，一层横梁及次梁的钢筋绑扎已完成过半。</p>
<p style="font-size: 18px; line-height: 40px; text-align: left; margin-bottom: 30px;">华夏能源网注意到，该项目一共投资2.5亿，其中，2个亿是凯添燃气通过贷款而来。此前，在回复第<a style="color: red;">方钉导航</a>二次问询函，凯添燃气也表示，公司已进行资产抵押贷款，包括天然气管网、土地、房屋、生产设备及房屋建筑物等，账面价值总计5.37亿元。凯添燃气还表示，公司还有1426.36万元的土地和房屋可供抵押。</p>
